Traffic Safety Solutions Membership Agreement Overview

Member Benefits

The Company uses its best efforts to:

• negotiate agreements with suppliers of products which include negotiating multipliers/discounts, rebates, special services and other benefits for Members from such suppliers;
• provide marketing, sales, training and management programs as developed from time to time by the Company for traffic safety members;
• pay out rebates based upon the quantity or value of the members business which is done through the Company. Rebates from suppliers are paid to the membership by supply partners.

Member Duties

Member will use all commercially reasonable efforts to:

• conduct business in compliance with all laws and in a first-class and quality manner and according to the highest standards of integrity in the industry;
• promote the unity and strength of the network with the attendance of key management personnel at the annual FEI Group National Conference. In addition, member shall endeavor to participate in the regional trade shows in which Traffic Safety Solutions is an exhibitor;
• endeavor to support the Company’s partner suppliers Minimum Purchase Requirement and use all commercially reasonable efforts to source purchase requirements through suppliers who provide incentives or rebates to Company members.

Agreement Term and Consideration

Upon acceptance by the Company, the Agreement is for three (3) years. The agreement includes a rollover-provision where it shall automatically renew for additional one-year periods unless either party gives the other party written notice not to renew this agreement, at least sixty days prior to the end of the then current term.

One-Time Membership Fee:

• Member shall pay Company a one-time membership fee of $7,500.

We offer two payment plans. Please choose from the options below:

Plan 1 – One-time cash payment of $7,500.

Plan 2 – Down payment of $2,500 with the balance of $5,000 paid via rebates earned by the Member through the Company’s incentive programs.

Monthly Membership Dues

• All members pay monthly network dues of $199, which is invoiced quarterly.
