Exterior Contractor Alliance Trailblazers Membership Agreement Overview

Member Benefits

The Company uses its best efforts to:

• negotiate agreements with suppliers of products which include negotiating multipliers/discounts, rebates, special services and other benefits for Members from such suppliers;
• provide marketing, sales, training and management programs as developed from time to time by the Company for exterior finishing contractor members;
• pay out Member patronage dividends based upon the quantity or value of the member’s business which is done through the Company cooperative in relation to the Company’s total cooperative business during the Company’s fiscal year. Rebate incentives from suppliers are paid into the cooperative whereby they are divided between members and the Company, in accordance with Exhibit A (see terms and conditions for additional detail).

Member Duties

To maintain the enhanced buying power of the network and the membership benefits provided herein, each network member must actively support the membership programs and benefits offered by the Company. Furthermore, Member will use all commercially reasonable efforts to:

• promote, publicize, advertise and conduct the operation of Member’s business in compliance with all laws and in a first-class and quality manner and according to the highest standards of integrity in the exterior finishing industries;
• promote the unity and strength of the network with the attendance of key management personnel at the annual FEI Group National Conference. In addition, member shall endeavor to participate in the regional trade shows in which Exterior Contractor Alliance Trailblazers is an exhibitor;
• endeavor to support the Company’s partner suppliers

Minimum Purchase Requirement

Beginning with the third year of this Agreement and thereafter, Member shall use all commercially reasonable efforts to source purchase requirements through Approved Suppliers, which includes both manufacturers and distributors, and to achieve the minimum annual volume (measured in twelve-month increments commencing on an anniversary date of the date of this Agreement) of the greater of (i) $1,000,000 or (ii) 40% of the Member’s total purchased volume.

During each of the first two years of this agreement, Member shall use all commercially reasonable efforts to source purchase requirements through suppliers who provide incentives or rebates to Company members (“Approved Suppliers”) and to achieve the minimum annual volume (measured in twelve-month increments commencing on an anniversary date of the date of this Agreement) of the greater of (i) $500,000, or (ii) 25% of the Member’s total purchases volume.

Agreement Term and Consideration

Upon acceptance by the Company, the Agreement is for three (3) years. During the first 12 months of the agreement, you may terminate with 60 days notice. The agreement includes a rollover-provision where it shall automatically renew for additional one-year periods unless either party gives the other party written notice not to renew this agreement, at least sixty days prior to the end of the then current term.

One-Time Membership Fee is required for all new members:

• Member shall pay Company a one-time membership fee of $1,900.
• Member must also purchase one share of cooperative stock for $100.

We offer two payment plans. Please choose from the options below:

Plan 1 – One-time cash payment of $2,000.

Plan 2 – Down payment of $1,000 with the balance of $1,000 paid via patronage dividends earned by the Member through the Company’s incentive programs.

Monthly Membership Dues

• All members pay monthly network dues of $75, which is invoiced quarterly.
